Terms of Service

1. Agreement to Terms

By accessing and using the services of EcoDung Exports ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. These terms govern your purchase and export of organic cow dung products from India to international destinations. If you do not agree to these terms, please do not use our services.

These terms are governed by the laws of India, including the Sale of Goods Act, 1930, Indian Contract Act, 1872, Foreign Trade (Development and Regulation) Act, 1992, and applicable export regulations.

2. Business Eligibility

Our services are intended for business-to-business (B2B) transactions only. By placing an order, you represent that:

  • You are at least 18 years of age
  • You represent a legally registered business entity
  • You have the authority to enter into binding contracts
  • You possess all necessary import licenses and permits required in your country
  • All information provided is accurate and truthful

3. Products and Services

3.1 Product Description

We export various forms of organic cow dung products including dried cow dung, raw cow dung, cow dung cakes, and cow dung powder. All products are sourced from healthy, free-range cattle and processed according to international quality standards.

3.2 Product Specifications

While we strive for accuracy, product specifications, images, and descriptions are approximate. Natural variations may occur due to the organic nature of our products. We do not warrant that product descriptions are error-free or complete.

3.3 Product Availability

Product availability is subject to change. We reserve the right to limit quantities or discontinue products without prior notice.

4. Orders and Quotations

4.1 Quotation Process

All prices are provided on a quotation basis and are valid for 30 days from the date of issue unless otherwise specified. Quotations are not binding until confirmed by both parties.

4.2 Order Acceptance

Your order constitutes an offer to purchase. We reserve the right to accept or reject any order at our discretion. Order confirmation will be sent via email. A binding contract is formed only upon our written acceptance.

4.3 Minimum Order Quantity

Minimum order quantities (MOQ) apply for international exports and will be specified in the quotation.

5. Pricing and Payment

5.1 Currency and Pricing

All prices are quoted in Indian Rupees (INR) or US Dollars (USD) and are subject to change without notice. Prices are exclusive of taxes, duties, shipping, insurance, and other charges unless specified otherwise.

5.2 Payment Terms

  • Payment terms will be specified in the proforma invoice
  • Typical payment terms: 30-50% advance, balance before shipment or against shipping documents
  • Accepted payment methods: Wire transfer (SWIFT), Letter of Credit (LC), or other mutually agreed methods
  • All banking charges are borne by the buyer unless otherwise agreed

5.3 Taxes and Duties

Buyers are responsible for all import duties, taxes, customs clearance fees, and other charges in the destination country. GST and other Indian taxes will be applied as per Indian tax laws.

6. Export Documentation and Compliance

6.1 Export Regulations

We comply with all Indian export regulations including DGFT (Directorate General of Foreign Trade) guidelines, phytosanitary requirements, and international trade laws.

6.2 Import Requirements

Buyers must ensure compliance with import regulations in their country, including obtaining necessary permits, licenses, and phytosanitary certificates. We are not responsible for shipments detained or rejected due to buyer's non-compliance with import regulations.

6.3 Documentation

We provide all standard export documentation including commercial invoice, packing list, certificate of origin, phytosanitary certificate (if required), and bill of lading/airway bill.

7. Shipping and Delivery (Incoterms)

Shipping terms will be clearly specified using International Commercial Terms (Incoterms 2020). Common terms include FOB (Free on Board), CIF (Cost, Insurance, and Freight), or other mutually agreed terms. Risk transfers to the buyer as per agreed Incoterms.

8. Quality Assurance and Inspection

Products undergo quality inspection before shipment. Buyers may arrange for third-party inspection at origin before shipment at their own cost. Any inspection must be completed within agreed timelines to avoid shipment delays.

9. Claims and Disputes

9.1 Quality Claims

Claims for quality defects must be made within 7 days of delivery with photographic evidence and supporting documentation. Claims made after this period will not be entertained.

9.2 Shortage Claims

Claims for shortage must be reported within 48 hours of delivery with container seal details and weighment documents.

9.3 Dispute Resolution

Any disputes arising from these terms shall first be resolved through good faith negotiations. If unresolved, disputes shall be subject to arbitration in Lucknow, India under the Arbitration and Conciliation Act, 1996.

10. Limitation of Liability

To the maximum extent permitted by law, EcoDung Exports shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our products or services. Our total liability shall not exceed the value of the specific order giving rise to the claim.

We are not liable for delays or failures in performance resulting from force majeure events including natural disasters, government actions, wars, pandemics, strikes, or transportation disruptions.

11. Intellectual Property

All content on our website including logos, trademarks, product descriptions, images, and text are owned by EcoDung Exports and protected by intellectual property laws. Unauthorized use is prohibited.

12. Confidentiality

Both parties agree to keep confidential all business information, pricing, and trade secrets disclosed during the course of business. This obligation survives termination of the business relationship.

13. Termination

We reserve the right to refuse service, terminate accounts, or cancel orders at our discretion, especially in cases of suspected fraud, breach of terms, or failure to meet payment obligations.

14. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of India. The courts of Lucknow, Uttar Pradesh, India shall have exclusive jurisdiction over any disputes.

15. Modifications

We reserve the right to modify these terms at any time. Updated terms will be posted on our website with a revised date. Continued use of our services after modifications constitutes acceptance of the revised terms.

16. Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
